Terms of Service

1. Agreement

By accessing or using CareLedger AI ("the Service"), provided by CareLedger AI Ltd, a company registered in England and Wales ("the Company"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Service Description

CareLedger AI provides automated financial reconciliation and auditing tools for social care providers in the United Kingdom. The Service processes care visit data against council funding bands to identify billing discrepancies, generate reconciliation reports, and produce accounting-software-ready exports.

3. Accounts & Registration

• You must provide accurate and complete registration information.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately of any unauthorised access.
• One agency account per organisation unless agreed otherwise.

4. Acceptable Use

You agree not to:

• Upload data containing identifiable patient health information (the system is designed to reject such data).
• Attempt to access another agency's data or circumvent tenant isolation.
• Use the Service for any unlawful purpose.
• Reverse-engineer, decompile, or attempt to extract source code.
• Use automated tools to scrape or extract data from the Service.

5. Subscriptions & Payment

• The Service is offered on monthly subscription plans (Growth and Enterprise).
• A 14-day free trial is available for new accounts.
• Prices are in GBP and exclusive of VAT where applicable.
• Subscriptions renew automatically unless cancelled before the renewal date.
• We reserve the right to change pricing with 30 days' notice.

6. Data Ownership

You retain all rights to the data you upload. We do not claim ownership of your care log data or reconciliation outputs. We process your data solely to provide the Service as described in our Privacy Policy.

7. Service Availability

We aim for 99.9% uptime but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance. We are not liable for losses arising from service interruptions.

8. Limitation of Liability

To the maximum extent permitted by law: (a) the Service is provided "as is" without warranties of any kind; (b) we are not liable for any indirect, incidental, or consequential damages; (c) our total liability shall not exceed the fees paid by you in the 12 months preceding the claim. Nothing in these terms excludes liability for death, personal injury, or fraud.

9. Intellectual Property

The Service, including its reconciliation algorithms, user interface, and documentation, is the intellectual property of CareLedger AI Ltd. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service.

10. Termination

Either party may terminate with 30 days' written notice. We may suspend access immediately for breach of these terms. Upon termination, you may export your data within 30 days, after which it will be deleted.

11. Governing Law

These terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
